3. Nature of the Engagement
This Agreement establishes a zero-hours, non-exclusive, freelance teaching arrangement. HANAVE IBMT is not obliged to offer any minimum number of hours or courses, and the Lecturer is not obliged to accept any teaching assignments offered.
4. Course Engagement
When and if a course is offered and accepted, a Course Engagement Form will be shared with details including:

5. Payment Terms
- The Lecturer will be paid based on actual student enrollment.

- Payment Schedule:
- 50% paid at the midpoint of the course (after verified enrollment list).

6. Status of the Lecturer
- The Lecturer is engaged as an independent contractor, not an employee.
- This Agreement does not confer employment status, benefits, or long-term commitment.
- The Lecturer is responsible for their own taxes, insurance, and statutory contributions.
7. Lecturer’s Responsibilities
Once a course is accepted, the Lecturer shall:
- Prepare and deliver course content as per HANAVE’s standards.
- Conduct assessments, grade student work, and submit final marks.
- Maintain professionalism and uphold academic integrity.
- Engage in student support and respond to queries during the course period.
- Comply with HANAVE’s academic calendar and quality assurance protocols.
8. Institutional Responsibilities
HANAVE IBMT shall:
- Provide relevant academic materials or guidance.
- Grant access to online platforms and administrative systems.
- Ensure timely communication of student enrollment numbers.
- Process payments as per the agreed schedule.
9. Intellectual Property
Course materials prepared by the Lecturer for HANAVE may be retained by the Institution for future use. These materials will be co-owned unless otherwise agreed in writing.
10. Confidentiality
The Lecturer shall not disclose confidential information relating to the Institution, staff, students, or internal documents, both during and after the term of engagement.
11. Termination
This Agreement may be terminated:
- At any time by either party with 7 days’ notice in writing.
- Immediately by HANAVE in cases of:
- Academic dishonesty
- Student abuse or misconduct
- Unjustified failure to deliver agreed teaching duties
Termination does not affect entitlement to payment for completed teaching hours or deliverables.
12. Dispute Resolution
Any dispute shall be resolved amicably through discussion. If unresolved, it will be referred to arbitration in accordance with the laws of the Republic of Uganda.
13. Entire Agreement
This document represents the entire understanding between HANAVE IBMT and the Lecturer. Amendments must be made in writing and signed by both parties.

B. LECTURER FIXED-TERM CONTRACT AGREEMENT
(Fixed-Term Academic Appointment)
This Lecturer Contract Agreement (“Agreement”) is made and entered into on this [Insert Date], by and between:

10. Confidentiality
The Lecturer agrees to keep confidential any non-public information about the Institution, its operations, staff, and students, both during and after the term of employment.
11. Termination of Agreement
This Agreement may be terminated:
- By either party with one month’s written notice.
- By the Institution, with immediate effect, for serious misconduct, gross negligence, or breach of contract.
- Upon natural expiry of the contract unless renewed in writing.
All dues must be settled prior to final clearance and issuance of certificates or references.
12. Dispute Resolution
Any disputes arising shall be addressed through internal mechanisms first. If unresolved, they shall be referred to arbitration under the laws of the Republic of Uganda.
13. Governing Law
This Agreement is governed by and construed in accordance with the laws of Uganda.
14. Entire Agreement
This Agreement represents the full understanding between the parties. Amendments shall be made in writing and signed by both parties.

C. PERMANENT LECTURER EMPLOYMENT CONTRACT

4. Duties and Responsibilities

5. Reporting
The Lecturer shall report to the Head of Department and the Dean of Faculty, or any other officer as designated by the Institution.
6. Remuneration and Benefits

- Continued employment, promotion, or professional development shall be based on performance, contribution to institutional goals, and adherence to policies.
10. Code of Conduct and Institutional Policies
The Employee agrees to:
- Abide by all HANAVE rules, regulations, and codes of conduct.
- Uphold academic integrity and ethical standards.
- Avoid any form of misconduct, discrimination, or harassment.
- Treat colleagues, students, and stakeholders with professionalism and respect.
11. Intellectual Property
All teaching materials, research reports, and innovations developed under this employment for HANAVE shall be deemed the property of HANAVE IBMT unless otherwise agreed in writing.
12. Confidentiality
The Lecturer shall maintain confidentiality on all institutional matters and data obtained during employment. This obligation continues even after termination.
13. Termination of Employment
This contract may be terminated:
- By either party with three (3) months’ written notice or payment in lieu of notice.
- By the Institution on grounds of gross misconduct, incompetence, dishonesty, or insubordination, following due disciplinary process.
- Automatically at the official retirement age, unless extended by mutual agreement.
Upon termination, all institutional property (e.g., books, devices, ID cards) must be returned, and a clearance process completed.
14. Dispute Resolution
In case of disagreement, the parties agree to resolve issues amicably. Failing that, the matter shall be referred to arbitration in accordance with the laws of the Republic of Uganda.
15. Governing Law
This Agreement is governed by the Employment Act of Uganda and other relevant labor regulations.
16. Entire Agreement
This document contains the complete terms of employment. Any changes must be made in writing and signed by both parties.
